Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Nocodek ("we," "our," or "us") via our subscription platform, website, or associated channels, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.

2. Subscription & Scope of Work

Nocodek provides design and development services on a flat monthly subscription basis.

• Request Submission: Clients may submit unlimited design or development requests via their designated Trello board queue.
• Active Execution: We work on one active request at a time. A request is deemed completed and ready for approval before we commence work on the next backlog request.
• Turnaround Time: While we aim to deliver designs or code changes in 3-5 business days on average, complex requests may require additional development cycles. Deliveries are estimates and not guarantees.

3. Subscription Pause & Cancellation

You may pause or cancel your subscription at any time:

• Pausing: If you pause your subscription before the end of the billing cycle, the remaining active days will be stored in your account and can be resumed at a later date.
• Cancellation: Subscription cancellations take effect at the end of the current paid billing period. No partial refunds are issued for unused time.

4. Intellectual Property & Ownership

Upon receipt of full payment for the corresponding subscription period, the Client owns all intellectual property, source code, design assets, and database schemas created specifically for the Client by Nocodek during that period. Nocodek relinquishes all claims to such IP.

5. Third-Party Services and Accounts

Clients are responsible for creating, maintaining, and funding all third-party subscription accounts and platforms required for their projects. This includes but is not limited to: Firebase Hosting/Auth/Firestore tiers, Stripe billing portals, Trello boards, Cal.com bookings, OpenAI APIs, and other external APIs. Nocodek is not liable for service outages, limits, or billing changes on these third-party platforms.

6. Refund & Satisfaction Guarantee

If you are not satisfied with our services within the first seven (7) calendar days of your subscription, you may request a refund. Nocodek will issue a refund of seventy-five percent (75%) of the paid subscription amount, no questions asked. After the first seven (7) calendar days, no refunds will be issued, and you may only cancel or pause your subscription for subsequent months.

7. Limitation of Liability

In no event shall Nocodek, its founders, or employees be liable for any direct, indirect, incidental, special, or consequential damages (including loss of profits, data, or business opportunities) arising out of the use or inability to use the codebase, applications, or designs delivered under this subscription.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
